BVI or Cayman Company From Singapore: Setup and Tax (2026)
By Lucas Seah, Founder of Excellence Singapore Group | Last Updated: October 2026
You can own and run a BVI business company or a Cayman Islands exempted company from Singapore, but you cannot file it yourself: only a licensed registered agent can file to incorporate a BVI company, and a Cayman exempted company must keep its registered office with a licensed Cayman company manager. Neither territory charges income tax on these companies, so for BVI company incorporation and Cayman setup from Singapore, the deciding questions are Singapore ones: where the company is really run, how its income is taxed here, and whether a Singapore bank will accept it.
Key Takeaways
- Only a licensed registered agent can file to incorporate a BVI business company. A Cayman exempted company needs a licensed local registered office and must operate mainly outside Cayman.
- Neither territory charges income tax on these companies, but both require yearly economic substance reporting and keep beneficial ownership registers that are not public.
- Singapore taxes foreign income received here by entities located in Singapore, and section 10L can tax gains on foreign assets.
- Singapore banks must identify the individuals behind an offshore company. No one can promise an account.
What is a BVI business company?
A BVI business company is formed under the British Virgin Islands’ BVI Business Companies Act; this guide covers the company limited by shares, one of five types the Act allows. The older label IBC (international business company) comes from the regime the Act replaced: every IBC on the register at the end of 2006 was automatically re-registered under the Act from 1 January 2007.
- A registered agent files it. Only the proposed registered agent can apply to incorporate, and the company must keep a licensed registered agent and a registered office in the BVI at all times.
- One owner and one director are enough, with the first director appointed within six months.
- No BVI income tax. Section 242 exempts the company, and the amounts it pays, from the BVI Income Tax Ordinance.
- Directors are on file. The register of directors goes to the Registrar within 21 days of the first appointment, and since the 2022 amendments the Registrar gives out a list of directors on request. Bearer shares can no longer be issued.
What is a Cayman Islands exempted company?
A Cayman exempted company is registered under Part 7 of the Companies Act (2026 Revision) by a company whose objects will be carried out mainly outside the Islands, which it declares on registration and in every annual return.
- No trading in Cayman except in furtherance of its business outside (section 174), although it can sign contracts there.
- A licensed local office. Its registered office must be at its licensed Cayman company manager’s address, and the General Registry says engaging a licensed firm is the most convenient way to incorporate.
- One member is enough, and that member can also be the director, according to the Registry’s FAQ.
- A private register of members, not open to public inspection. The Registrar holds the directors’ names, and anyone can inspect the current list for a fee.
- No direct taxes. The Cayman Islands Government states that there is no income tax, company or corporation tax, inheritance tax, capital gains or gift tax.
An investment fund may also need to register with the Cayman Islands Monetary Authority.

If an investor, a fund or a joint venture partner has asked for one of them, that usually settles it. Otherwise, compare the yearly filings and the government fees for the share capital you plan, since Cayman’s annual fee rises in bands with registered capital.
Why Singapore owners use offshore companies, and when a Singapore company is better
The legitimate reasons usually involve holding and neutrality rather than trading: holding overseas investments or subsidiaries when the owners live in different countries, joint ventures that want a neutral company law, and investor-led structures or funds. An offshore company is not a way to make income or owners disappear; our guide to whether a shell company is illegal in Singapore explains where the legal line sits.
A Singapore company is often the better choice when:
- The business will be run from Singapore. IRAS taxes income from a business carried on here wherever the company is incorporated, so an offshore company adds filings without changing that.
- It will operate in Singapore. A foreign company registers with ACRA as a foreign company branch, with a locally resident authorised representative, or sets up a subsidiary; see our comparison of subsidiaries, branches and representative offices.
- It needs Singapore’s tax treaties, which a company can use only if it is Singapore tax resident.
Some owners combine the two, with an offshore company owning a Singapore holding or operating company. That Singapore company still needs at least one ordinarily resident director (ACRA) and a register of registrable controllers. To go Singapore-only, start with how to register a company in Singapore.
How to set up a BVI or Cayman company from Singapore
- Decide what the company will do and where it will be run. This drives the jurisdiction, the economic substance category and the Singapore tax position.
- Choose the name and share capital. In Cayman, the registered capital sets the band for the annual government fee.
- Complete due diligence. The registered agent or corporate services provider must identify and verify the beneficial owners; Cayman’s beneficial ownership law requires checks against reliable sources such as government-issued documents. Expect to provide certified passports and proof of address for each director, shareholder and beneficial owner, an ownership chart that ends with the individuals at the top, a business description and the source of funds.
- File the constitution. In the BVI, the registered agent signs and files the memorandum and articles as incorporator. In Cayman, they go to the Registrar with the declaration that the company will operate mainly outside the Islands.
- Complete the first filings. Appoint the directors, issue the shares, file the register of directors (in the BVI within 21 days of the first appointment, in Cayman within 60 days) and provide the beneficial ownership details.
- Plan the Singapore side: the bank application, the Singapore tax position, and ACRA registration if the company will operate here.
Economic substance: the yearly test both territories apply
Both territories have economic substance laws. A company that carries on a relevant activity must show substance for it in the territory unless it is tax resident elsewhere; in the BVI, that other jurisdiction must also not be on the EU list of non-cooperative jurisdictions. The lists match: banking, insurance, fund management, finance and leasing, headquarters, shipping, holding, intellectual property, and distribution and service centre business, with investment fund business excluded (see the BVI International Tax Authority’s rules, Cayman’s Economic Substance Act and its tax authority guidance).
- A lighter test for pure equity holding. A company that only holds shares and only earns dividends and capital gains needs its company-law filings plus adequate people and premises in the territory; in the BVI, the registered agent’s services count toward this. Owning anything else, such as an interest-bearing bond or property, takes it outside the definition.
- Every company reports, even with no relevant activity: a BVI company to its registered agent within six months after its year end, a Cayman entity through a yearly notification with its annual return, plus a return within 12 months if it must meet the test (DITC practice points).
The classification can drift. A holding company that lends to a related company or starts earning royalties can fall into a stricter category, and one that buys property is no longer a pure equity holding company, so review it every year, not only at setup.
Singapore tax: what happens when the money reaches Singapore
Because neither territory taxes the company, Singapore’s rules decide the result.
Singapore business income is taxed here. A company pays tax on income accrued in or derived from Singapore, which includes income from a business carried on here (IRAS guide to taxable and non-taxable income), and foreign income from a Singapore trade is taxed as it accrues.
Foreign income received by an entity located here is taxed. Under section 10(25), foreign income counts as received when it is remitted here, used to pay a Singapore business’s debts, or used to buy movable property brought in. IRAS applies this to entities located in Singapore, while foreign businesses not operating in or from Singapore can remit foreign income here without tax. A company managed day to day from Singapore should not assume it is in that group.
Dividends to you, or to your Singapore company. Resident individuals are exempt on foreign-sourced income they receive, except through a Singapore partnership. A Singapore company’s foreign dividend exemption under section 13(8) needs, among other conditions, a headline tax rate of at least 15% where the paying company is tax resident (IRAS rules for companies receiving foreign income), so dividends from a BVI or Cayman company will generally be taxable when received.
Section 10L taxes some foreign asset gains. Since 1 January 2024, gains from selling a foreign asset, including shares in a company incorporated outside Singapore, are taxable when received in Singapore by an entity of a relevant group that lacks adequate economic substance here (IRAS e-Tax Guide). A group is a relevant group if any of its entities is incorporated, registered or established outside Singapore, or has a place of business outside Singapore. A foreign entity that only uses Singapore banking facilities, with no operations here, is outside the rule, and individuals are not covered.
Tax residence decides which reliefs a company can claim, and IRAS decides it by where control and management is exercised, usually where the board makes its strategic decisions (IRAS guidance on company tax residency). Our tax team can check these rules against your structure; see also our guide to tax filing for foreign-owned companies.
The structure to avoid is the company that is offshore in name only: owned, managed and banked from Singapore, with Singapore customers. It pays for two sets of filings, and much of its income may be taxable here anyway.
Opening a Singapore bank account for a BVI or Cayman company
It can be done, but the bank decides. Under MAS Notice 626, a bank must identify the individuals who ultimately own a corporate customer and understand its ownership and control. MAS’s guidelines to the Notice list unusually complex ownership, personal asset holding vehicles and nominee shareholders among the signs of potentially higher risk, which bring enhanced checks on the source of wealth and funds.
In our work with BVI and Cayman clients, the bank account is usually the part that needs the most preparation. A clear reason to bank in Singapore, a simple ownership chart down to the individuals, current registry documents such as a certificate of good standing, and evidence of where the money comes from all help. No provider can promise an account, but where a bank will consider the company, we can help with the Singapore bank account application. Ongoing compliance: what you file every year
BVI business company
- Keep the registered agent and registered office, and pay the annual government fee on time.
- File the annual financial return with the registered agent within nine months after the year end, under section 98A of the Act (in force since 1 January 2023), as a short balance sheet and income statement in the form set by the Financial Return Order.
- Keep beneficial ownership information current. The Registrar’s register, under regulations in force since 2 January 2025, is not public: apart from the authorities, access is limited to those who show a legitimate anti-money laundering interest (Government of the Virgin Islands).
- File changes of directors within 30 days.
Cayman exempted company
- Every January, file the annual return, pay the annual fee and submit the economic substance notification. Paying from 1 April adds a third of the fee, rising to two-thirds from 1 July and the full fee from 1 October, and a company that does not comply can be struck off after one month’s notice.
- Report changes of directors within 30 days, and keep the beneficial ownership register current through the corporate services provider (Cayman guidance).
Singapore tax and ACRA filings follow as well if the company has income taxable in Singapore or a branch here.
Frequently Asked Questions
Can a BVI company open a bank account in Singapore?
Yes, but the bank decides. Singapore banks must identify the individuals who ultimately own a corporate customer, and MAS lists personal asset holding vehicles and unusually complex ownership as potentially higher risk. A clear business purpose, a simple ownership chart and evidence of the source of funds help, but no one can promise an account.
Is offshore income taxable in Singapore?
It depends on who receives it. Income from a business carried on here is taxable, and so is foreign income received by an entity located here. Foreign businesses not operating in or from Singapore can remit foreign income without Singapore tax, and resident individuals are exempt unless it comes through a Singapore partnership.
Is BVI still a tax haven?
The BVI does not tax BVI business companies, which is why the label persists. But it now requires yearly economic substance reporting, keeps a beneficial ownership register that those with a legitimate anti-money laundering interest can apply to see, and is not on the EU list of non-cooperative jurisdictions adopted on 9 October 2026.
Can a BVI company buy property in Singapore?
Yes, with extra costs and checks. As a foreign person under the Residential Property Act, it needs SLA approval for landed homes, and SLA’s published approval criteria (at least five years as a permanent resident and an exceptional economic contribution) are written for individuals; condominiums and commercial property need no approval. Entities pay 65% ABSD on top of buyer’s stamp duty on residential property, a later sale of the company’s shares can attract Additional Conveyance Duties, and property agents and banks must verify its beneficial owners.
Is it legal for a Singaporean to own a BVI company?
Yes. Owning a company incorporated abroad is lawful; what can make it unlawful is the use, such as hiding the real owner, evading tax or laundering money. Singapore still taxes income from a business carried on here, wherever the company is incorporated.
Does a BVI company need to file accounts?
Under rules in force since 2023, it files an annual financial return, a short balance sheet and income statement, with its registered agent within nine months after its year end, not with the Registrar. Listed, certain regulated and liquidating companies, and those filing BVI tax returns, are exempt.
